A photograph taken from an upstairs window above a small-town main street on an October morning, made with a tilt-shift lens, so that only a band across the middle is sharp and the real street looks like a model. In the middle of the road a whole two-storey house, pale mint-green clapboard with white trim and a grey shingled roof, rides on long steel beams behind a white tractor unit, so wide that it fills the street. On the right, a lineman in the raised bucket of a white utility truck holds a black power line up on a long pale pole, just above the house's brick chimney. Maples blaze orange and red along both pavements, where townspeople stand and watch. On the front edge of the house's porch, his legs hanging over the beams, sits a small man in a grey suit with a brown paper bag on his knees, looking up at the wire: a white-painted face, thin pink rings painted around his eyes, a round pink ball nose, short lavender hair and a white ruffled collar.

Before the opening bell on Monday, Schneider Electric, the French maker of electrical equipment, agreed to buy PTC, the Boston company that makes software for designing industrial products and keeping track of them, for $205 a share in cash: 42.3 percent more than PTC's Friday close of $144.03, about $22.6 billion in all, and the largest purchase in Schneider's history. PTC opened at $195.84 and closed at $192.26, up 33.49 percent and $12.74 under the price on the table. The deal is expected to close in the third quarter of 2027, once PTC's shareholders, the antitrust authorities and the Committee on Foreign Investment in the United States have agreed to it. The S&P 500 spent the same session climbing toward a price it had set itself: 7,798.99, its record close of 13 August. It opened at 7,730.86, made a new high for the day sixty-seven times, and at 3:19 reached 7,794.35 — 4.64 points short. It closed at 7,773.95, up 51.23, or 0.66 percent: its highest close since 14 August, and still 25.04 under the line.

The day's protagonist

PTC PTC

Move: +33.49% to $192.26 — $12.74 under Schneider Electric's offer of $205 in cash

PTC was founded in 1985 as Parametric Technology, and its software is the kind engineers use to draw a part and then keep track of it for the rest of its life: Creo, which began as Pro/ENGINEER, for designing, and Windchill, since 1998, for the records. On Monday a buyer named a price for all of it, $205 a share in cash, and by the close the market was willing to pay $192.26. The gap is not a verdict on the software. It is the price of time and of permission: a deal promised for the third quarter of 2027, a shareholder vote, an antitrust review, and a review by the committee that examines foreign purchases of American companies, any of which could say no. Bought at $192.26 on Monday and paid $205 at the end of next September, a share returns 6.63 percent in a year; on Friday, the latest day the Federal Reserve has published, a one-year Treasury paid 4.46. The difference, a little over two points, is the market's doubt, written as a price. PTC's best trade of the day was $196.05, in its first half hour. It was never closer.

The deeper account

Schneider is paying $205 in cash for every PTC share: 42.3 percent over Friday's close and 46.1 percent over the average price of the previous thirty trading days, for an equity value of $22.6 billion and an enterprise value of $23.7 billion. Both boards approved it unanimously. To pay for it, Schneider plans to sell €5–6 billion of new shares and borrow €16–17 billion more. The merger agreement makes the deal conditional on a vote of PTC's shareholders, on clearance under the Hart-Scott-Rodino Act and by the Committee on Foreign Investment in the United States, and on other antitrust and foreign-investment approvals; if PTC's board changes its recommendation or takes a better offer, PTC owes Schneider $700 million. Schneider expects to complete it in the third quarter of 2027. In Paris its own shares fell about 9 percent, to the bottom of the CAC 40, and its American receipts fell 10 percent, to $61.50.

The $12.74 between PTC's close and the offer is what the market charged for waiting and for doubt. A holder who paid $192.26 on Monday and is handed $205 at the end of next September will have made 6.63 percent in a year; on Friday, the latest day the Federal Reserve has published, a one-year Treasury paid 4.46 percent. The rest, a little over two points, is the price of the chance that a regulator, the vote or the financing says no. PTC's best trade of the day was $196.05, in its first half hour; after that it drifted lower in nine of the remaining twelve half-hours while the index climbed, and the gap was wider at the close than at the open.

It was the day's second bid of the kind. C.H. Robinson, the freight broker, agreed to buy RXO for $17.25 in cash and 0.0856 of a C.H. Robinson share for each RXO share — $30.25 at C.H. Robinson's average price over the sixteen days before the deal, 29 percent over RXO's Friday close. Then C.H. Robinson's own shares fell 10.85 percent, to $140.61, after trading as low as $132.05, and at that price the offer was worth $29.29. RXO closed at $28.65, up 22.54 percent and 64 cents under it. That deal is expected to close in the first half of 2027. On both of Monday's bids, the company doing the buying lost about a tenth of its value in a day.

The index's own line was drawn on 13 August, when it closed at 7,798.99; the next morning it traded above that, at 7,810.01, and it has not been back since. On Monday it opened at 7,730.86, 8.14 points above Friday, and made its low, 7,727.59, in the first minute. Only two minutes all day closed below the opening price: that first one, and ten o'clock, the minute the Institute for Supply Management reported that service businesses grew a little more slowly in September — its index fell to 54.9 from 55.4 — while the prices they paid rose to 74.0, the highest since July 2022. The index fell 6.74 points inside that minute, and then it climbed for five hours: through 7,750 at 10:14; past 7,764.70, its best close since August, at 12:24; past 7,790.68 at 3:14, higher than at any moment since 14 August; and to 7,794.35 at 3:19, 4.64 points under the record. It traded within ten points of the line in twenty-two of the minutes between 3:02 and 3:38, and after 3:19 it gave back 20.40. It closed at 7,773.95, the highest close since 14 August's 7,785.76.

Other indexes got there. The Nasdaq Composite rose 1.05 percent to 27,477.31, a record close, above the one it set on 22 September, and Nvidia, its largest company, rose 2.12 percent to $238.90, a record close of its own, after touching $240.10; Yahoo Finance put its value at about $5.76 trillion. Taiwan Semiconductor's American shares rose 2.75 percent, touching a record, after Elon Musk confirmed early talks about a part for it in his Terafab chip project. The Dow rose 90.94 points to 51,267.90.

Underneath, ten of the eleven sectors rose, and the equal-weight fund rose 0.66 percent, the same as the index: a broad day, not a narrow one. Materials led, 1.31 percent, on the steelmakers: Cleveland-Cliffs rose 7.77 percent, Nucor 4.58 and Steel Dynamics 3.90, after Nucor raised its spot price for hot-rolled coil by $10 to $1,230 a ton; Alcoa rose 3.67. Communication services rose 1.17 percent, energy 1.00 though the oil fund fell 2.29, financials 0.73, health care 0.72, staples 0.63, technology 0.56, utilities 0.35, discretionary 0.35 and industrials 0.09, held back by C.H. Robinson. Real estate fell 0.34. The semiconductor fund rose only 0.10 percent on the day Nvidia set its record. Outside the index, Vaxcyte, whose pneumococcal vaccine met every main goal of a late-stage trial, opened 54.41 percent higher, traded as high as 60.68 percent up and closed up 30.70 percent; the company expects to ask for approval in the first half of 2028.

Bonds kept selling. The ten-year Treasury yield rose about seven basis points to 5.349 percent, its highest since April 2002, and the thirty-year to about 5.70; the long-bond fund fell 0.48 percent. Of the costs its members reported, the ISM said, "fuel costs were mentioned twice as often as any other single issue." The VIX rose 0.21 to 15.52 on a day the index rose. The minutes of the Federal Reserve's September meeting are due on Wednesday, and the Fed meets again on 27 and 28 October.

Two honest notes. The closes for individual companies and funds are the feed's official closing prints; Schneider Electric's figures are press figures, its Paris fall from Il Sole 24 Ore and its American receipts from the Boston Globe, because the feed carries neither. And the 6.63 percent assumes the deal closes on the last day of the quarter it is promised for; if it closes sooner, the return is higher and the doubt priced in is larger.

In the photograph it is early on a Monday in October, and a house that has been sold is going down Main Street to its new lot. It rides on steel beams behind a tractor unit, so wide that it fills the road; the maples are at their reddest, half the town is out on the pavements, and a lineman in a bucket is holding the power line up on a pole so the chimney can pass beneath it with a hand's breadth to spare. The picture was made with a tilt-shift lens from an upstairs window, which is why the whole street looks like a model. The one passenger is the man in the grey suit, sitting on the edge of the porch with his paper bag on his knees, looking up at the wire. The house will get where it is going. It just isn't there yet.
